End-User License Agreement

1. Ownership

ShipDocs is exclusively owned, authored, and published by BookingZone, LLC. All right, title, and interest in and to the service — including the source code, object code, application binaries, document templates, generation logic, design system, marketing copy, illustrations, brand, trademarks, trade dress, look and feel, database schemas, training material, and all derivative works — are and will remain the exclusive property of BookingZone, LLC. No title or ownership interest is transferred to you under this Agreement.

2. License grant

Subject to your continuing compliance with these Terms and payment of any applicable fees, BookingZone, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the hosted ShipDocs service for your own internal business operations and for the generation of shipping documents from your own QuickBooks Online data. This license is for use of the service as a service; no copy of the underlying software is delivered to you.

3. Restrictions — what you may not do

Except to the strict extent applicable law overrides this restriction and cannot be waived by contract, you shall not, and shall not permit any third party to, directly or indirectly:

Copy or reproduce any portion of the service, its source or object code, its document templates, its generated PDF layouts, or any other component of the service;
Redistribute, resell, sublicense, lease, lend, or share access to the service, or expose the service to any user other than your own employees and contractors authorized to act on your behalf;
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the service;
Create derivative works based on the service, its templates, its API responses, or any other component, including competitive or substantially similar shipping-document generation tools;
Scrape, harvest, or bulk-export the service's output or interfaces by automated means beyond the documented QuickBooks-driven workflows;
Use the service to train or fine-tune any machine-learning model (including large language models, foundation models, or document-generation models), or to evaluate, benchmark, or embed the service in such a system, without prior written consent from BookingZone, LLC;
Remove, obscure, or alter any copyright, trademark, proprietary-rights notice, watermark, or attribution in or on the service or its output;
Use the service in violation of Intuit's Developer Terms of Service, any applicable export-control law, or any other applicable law, regulation, or third-party right.

4. Customer data

You retain all right, title, and interest in and to the data you authorize us to read from QuickBooks Online and in the underlying facts contained in the documents we render from that data. You grant BookingZone, LLC a limited license to process that data solely to provide and improve the service, in accordance with the Privacy Policy. BookingZone, LLC does not claim ownership of your customer data.

5. Trademarks

ShipDocs, the ShipDocs logo, and the BookingZone name and logo are trademarks of BookingZone, LLC. No license is granted under this Agreement to use any of those marks, except to refer accurately to BookingZone, LLC or to the ShipDocs service in factual statements (for example, "we use ShipDocs").

6. Compliance with Intuit terms

Your use of the QuickBooks integration is additionally governed by Intuit's Developer Terms of Service and Application Card terms. In the event of conflict between this EULA and those terms with respect to the handling of QuickBooks data, Intuit's terms control as to QuickBooks data only.

7. Termination of license

This license terminates automatically and without notice if you breach any provision of this EULA. On termination you must immediately cease all use of the service and destroy any cached, exported, or printed materials that reproduce its proprietary templates or generation logic. Sections 1, 3, 5, 8, 9 and 10 survive termination.

8. No implied license

All rights not expressly granted to you in this EULA are reserved by BookingZone, LLC. No license is granted by implication, estoppel, exhaustion, or otherwise. The fact that BookingZone, LLC declines to enforce any provision in any particular instance is not a waiver of its right to enforce that provision in any other instance.

9. Injunctive relief

You acknowledge that any breach of Sections 1 or 3 would cause BookingZone, LLC immediate and irreparable harm for which monetary damages would be inadequate, and you agree that BookingZone, LLC is entitled to seek injunctive and equitable relief, in addition to all other remedies, in any court of competent jurisdiction, without the requirement to post bond.
